This Membership Agreement (“Agreement”) is a binding contract between you (“Member,” “Subscriber,” or “Client”) and My SMB Website (“Company,” “we,” “us,” or “our”). By subscribing to or using our website design and management services, you agree to the terms outlined below.
1. Services Provided
My SMB Website provides a managed website service that includes:
- Custom website design and development (up to the page limit included in your plan)
- Hosting, maintenance, updates, and ongoing technical support
- Access to a private client portal for submitting updates or support requests
All websites are designed, hosted, and maintained by My SMB Website on our managed platform. Subscribers do not receive administrative or backend access to their website.
2. Membership Term
Memberships are billed on a monthly basis, with payment due at the start of each billing period.
Your membership will automatically renew each month until canceled in accordance with this Agreement.
3. Payment and Billing
- The first payment is due at signup.
- Monthly payments are automatically billed to your selected payment method.
- If a payment fails, your account may be paused or suspended until payment is received.
- All payments are non-refundable, including setup or design work already performed.
4. Cancellation
You may cancel your membership at any time through your client portal or by written notice to our support team.
- Upon cancellation, your website will remain live until the end of the current billing period.
- After your billing period ends, your website and related files will be permanently removed from our servers.
- Because our websites are hosted and managed exclusively on our platform, they cannot be transferred or downloaded upon cancellation.
5. Ownership and Intellectual Property
- All website designs, templates, code, and underlying files remain the exclusive property of My SMB Website.
- During an active subscription, you have a license to use your website for business purposes.
- Upon termination of your subscription, this license ends immediately, and the website will be taken offline.
- You retain ownership of your own business content (text, images, and other materials you provide), but not the website’s design, layout, or structure.
6. Client Responsibilities
You agree to:
- Provide accurate and timely information needed to build and maintain your website.
- Ensure all submitted content complies with applicable laws and does not infringe on any third-party rights.
- Respond to design feedback requests and approval communications in a timely manner to avoid project delays.
Failure to provide content or feedback promptly may extend the project timeline beyond the estimated 30-day launch window.
7. Timeline
Websites are typically launched within 30 days of signup. This timeframe depends on receiving all required content, materials, and approvals in a timely manner. Delays in client response or incomplete materials may result in a longer launch period.
8. Content and Usage
You are solely responsible for the content displayed on your website. My SMB Website reserves the right to remove or refuse to publish any content that is unlawful, offensive, or violates this Agreement or applicable laws.
9. Revisions and Updates
Your membership includes ongoing website updates and content changes as outlined in your plan.
Requests must be submitted through the client portal and are typically completed within a few business days, depending on scope.
10. Limitation of Liability
My SMB Website is not liable for:
- Any indirect, incidental, or consequential damages resulting from use of our services.
- Downtime, interruptions, or data loss beyond our reasonable control.
- Any loss of business or revenue resulting from delays or technical issues.
Our total liability to you for any claim related to this Agreement shall not exceed the total amount paid during the three (3) months prior to the claim.
11. Termination by My SMB Website
We reserve the right to suspend or terminate service if:
- You breach this Agreement or violate any law.
- Payment is not received within seven (7) days of the due date.
- Your website contains prohibited or unlawful content.
In the event of termination, your site will be disabled immediately and removed after the billing cycle ends.
12. Privacy and Data
We respect your privacy and handle all client information in accordance with our Privacy Policy. By using our service, you consent to the collection and use of your data as outlined therein.
13. Changes to This Agreement
My SMB Website may modify this Agreement at any time. Updated versions will be posted on our website, and continued use of the service constitutes acceptance of any changes.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.
